NDA Analyzer

The NDA Analyzer streamlines the review of nondisclosure agreements by applying a playbook-driven, clause-by-clause analysis. It helps lawyers and business stakeholders quickly surface red flags, understand how each NDA provision aligns with internal standards, and maintain consistent negotiation positions across high volumes of agreements.

In practice, users begin by setting review parameters: identifying whether they are acting as Disclosing Party, Receiving Party, or both, and selecting the NDA’s purpose (for example, acquisition, investment, partnership, or vendor relationship). Based on these inputs, the app applies the appropriate risk criteria and playbook guidance, and the user then chooses between a Full Review of a single NDA or a Changes Review that compares a new draft against a prior version.

In Full Review mode, the app pulls the relevant provisions from the playbook for the selected purpose, locates the corresponding language in the NDA, and evaluates each clause against the defined standards. The output is an organized, clause-by-clause view that shows the playbook standard, the extracted NDA language, a risk rating, and precise, redline-ready revisions to bring the draft back to preferred positions. In Changes Review mode, the app compares the current NDA to the prior version to identify all substantive changes, classifies each change as favorable, neutral, or unfavorable for the selected role, and provides targeted negotiation responses.

Key benefits include:

  • Reduce time spent on routine NDA review and comparison
  • Enforce consistent playbook positions across different business teams and counterparties.
  • Quickly identify and prioritize high-risk or non-standard clauses.
  • Generate negotiation-ready edits and guidance without manual markup.
  • Produce structured reports that can be exported to Word for further use in deal files.

Overall, this app provides a structured, playbook-based approach to NDA review that saves time, improves consistency, and supports more informed, defensible negotiation decisions.

Perform clause-by-clause NDA reviews against a customizable playbook to flag risks, deviations, and generate redline-ready revisions.
